These Terms of Service ("Terms") govern your access to and use of Blueprint’s website, services, and digital out-of-home (DOOH) platform, including any applications, software, content, hardware, and screens provided by us (collectively, the “Services”).

By using our Services, you agree to these Terms. If you do not agree, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of your business to use our Services. By signing up, you represent and warrant that you meet these requirements.

2. Our Services

We provide:

A platform to upload and manage digital ads
Access to a network of screens placed in partner locations
Tools for scheduling, reporting, and campaign optimization
Optional creative support (where applicable)

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. User Accounts

You may need to create an account to access some features. You are responsible for:

Keeping your login credentials secure
Ensuring that any information you provide is accurate and up to date
All activity that occurs under your account

We may suspend or terminate your account if you violate these Terms.

4. Advertising Content

You are responsible for any content you submit, upload, or display through our platform, including video ads, logos, and text (“User Content”). You agree that:

You have the right to use and distribute the content
Your content complies with all applicable laws and regulations
Your ads are appropriate for public and family-friendly environments
Your content does not infringe on any third-party rights

We reserve the right to reject or remove any content at our discretion.

5. Payments & Subscriptions

Pricing and packages are available on our website. By purchasing a package, you agree to:

Pay all applicable fees
Provide accurate billing and payment information
Understand that payments are non-refundable unless otherwise stated

We may modify pricing with notice. Subscription services may renew automatically unless canceled.

6. Acceptable Use

You agree not to:

Interfere with or disrupt our Services or systems
Attempt to reverse-engineer or hack our software or hardware
Use the Services to distribute harmful, misleading, or inappropriate content
Resell access to our platform without permission

7. Intellectual Property

All intellectual property related to the Services (excluding your User Content) remains the property of Blueprint Digital Media LLC or our licensors. You may not use our trademarks, logos, or content without permission.

8. Disclaimers

Our Services are provided “as is” and “as available.” We do not guarantee:

Continuous, error-free, or secure access to the Services
That advertising will result in specific outcomes or revenue
That content on third-party screens will be displayed without interruption

To the fullest extent permitted by law, we disclaim all warranties, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Blueprint Digital Media LLC shall not be liable for any indirect, incidental, or consequential damages, or for any loss of profits or data, arising out of your use or inability to use the Services.

Our total liability shall not exceed the amount you paid to us in the 3 months prior to the claim.

10. Indemnification

You agree to indemnify and hold harmless Blueprint Digital Media LLC , its affiliates, and its partners from any claims, losses, or damages (including legal fees) arising from your use of the Services, your content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason. Upon termination, your right to use the Services ends immediately.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal action must be brought in a court located in Santa Clara County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of changes by updating the “Effective Date” above and/or through email or in-app notice. Your continued use of the Services means you accept the revised Terms.
